Client: Any person or entity that engages Spire Performance for Services.
Contract: The agreement between Spire Performance and the Client for the provision of Services, including these Terms.
Deliverables: The work product created by Spire Performance for the Client under the Contract, such as reports, websites, or marketing materials.
Intellectual Property: All intellectual property rights, including copyrights, trademarks, patents, and trade secrets, in or relating to the Services and Deliverables.
Services: The performance marketing, website development, and consulting services offered by Spire Performance.

Spire Performance will use reasonable care and skill in performing the Services under the Contract.
We will use commercially reasonable efforts to meet agreed-upon deadlines.
We will communicate openly and transparently with the Client throughout the project.
We will comply with all applicable laws and regulations in the provision of Services.

Performance Marketing and Consulting Services: Billing cycles are 30 days. Payment is due in advance for each cycle.

Website Support: Website support services are billed hourly at a rate of €30 per hour. Payment is due at the end of each month for hours incurred.

All Intellectual Property in the Services and Deliverables remains the property of Spire Performance.
The Client is granted a non-exclusive, royalty-free license to use the Deliverables for their intended purpose under the Contract.

The Client will have the opportunity to review and approve Deliverables before they are finalized.
Spire Performance will make reasonable revisions to Deliverables based on the Client’s feedback.
Additional revisions may be subject to additional fees.

9. Termination

Either party may terminate the Contract for breach by the other party upon written notice.
Either party may terminate the Contract for any reason upon providing the other party with 10 days’ written notice.
Upon termination, the Client will pay Spire Performance for all Services rendered up to the date of termination, in accordance with the agreed-upon payment terms.

Spire Performance is not liable for any indirect, incidental, consequential, or punitive damages arising out of or related to the Services.

Neither party shall be responsible for any delay or failure to perform its obligations under this Agreement due to causes beyond its reasonable control, including, but not limited to, acts of God, war, riots, labor strikes, epidemics, pandemics, governmental actions, power outages, or interruptions in telecommunications or internet services. The affected party shall promptly notify the other party of such a Force Majeure event and shall use its commercially reasonable efforts to minimize the impact of the event on its performance of its obligations.
